Terms of Service
These terms are an agreement between your business and Maiyakitech Digital Solutions Ltd (RC [number]), a company registered in Nigeria with its office at [registered address] ("Biyapoint", "we", "us"). Biyapoint is a product of Maiyakitech Digital Solutions Ltd. By creating an account or using Biyapoint you accept these terms on behalf of your business. If you do not agree, do not use Biyapoint.
1. What Biyapoint does
Biyapoint lets businesses in Nigeria collect payments by bank transfer and manage that money. Features include virtual bank accounts, payment links, Scan to pay, invoices, checkout for websites, an online shop, a wallet that holds collected money until you withdraw it, and the resale of airtime, data and bill payments.
Biyapoint is not a bank and does not hold deposits. Collection accounts are provided by our licensed partner bank, 9 Payment Service Bank (9PSB), and money moves through the Nigerian banking system. Some features depend on third parties (banks, telecom networks, bill companies and service providers) and may be unavailable when they are.
2. Your account
- You must be at least 18 and authorised to act for the business you register.
- The information you give us must be true, complete and kept up to date.
- You are responsible for everything done with your account, your staff's access and your API keys. Keep passwords and codes secret, and turn on two-factor sign-in.
- Tell us at once at support@biyapoint.com if you think your account or keys have been misused.
3. Verification
To protect your customers and meet our legal duties (including anti-money-laundering and counter-terrorist-financing rules), we must verify who owns and runs your business before you can receive live payments or withdraw. We may ask for identity documents, BVN or NIN, a live selfie check, business registration (CAC) documents, proof of address and details of your bank account. We may check these with third parties and repeat checks at any time. We may refuse or end service if we cannot verify you.
4. Payments and your wallet
- When a customer pays into a Biyapoint account for your business, we credit your Biyapoint wallet with the amount received, less any fee in section 6, once the partner bank confirms the transfer.
- Your wallet balance is a record of money we owe to you. It does not earn interest.
- If a payment is credited by mistake, is reversed by a bank, or is found to be fraudulent, we may deduct it from your wallet. If your wallet does not have enough, you agree to repay it.
- Records shown in your dashboard are our records of your transactions. Tell us within 30 days if you believe any is wrong.
5. Withdrawals
You may withdraw your available balance to the bank account verified for your business, confirmed with a one-time code. We pay withdrawals as quickly as the banking system allows, but cannot guarantee timing. We may delay or decline a withdrawal while we review activity under section 10. If a payout fails, the amount returns to your wallet.
6. Fees
Our fees are shown in your dashboard and may differ by business. They may include a charge on money collected into your accounts. Airtime and bills are charged at your Biyapoint price. We will give you at least 14 days' notice of a fee increase. Fees are not refundable unless the law requires otherwise.
7. Your customers
- You are the seller. You are responsible for your goods and services, their prices and descriptions, delivery, returns, and your dealings with your customers.
- Only take payment for things you will genuinely provide. Show your customers your correct business name, contact details and refund terms.
- You must have a lawful basis to give us your customers' personal data and must tell them how it is used (see our Privacy Policy).
- Customers can report a business to us. We review every report and may contact you, hold funds or end service.
8. Airtime and bills
Purchases are paid from your wallet and delivered by third-party providers. Check numbers carefully: a delivery to a wrong number you or your customer entered cannot be reversed. If a purchase fails, your wallet is refunded. When you sell airtime and bills from your Biyapoint shop, your prices must stay within the limits Biyapoint sets, and if a customer's purchase cannot be delivered we return their payment to the account they paid from and deduct what that order credited to your wallet.
9. What you may not do
You may not use Biyapoint for, or to collect money from:
- anything illegal in Nigeria, or fraud, scams, impersonation, fake investments, Ponzi or pyramid schemes;
- unlicensed gambling, lending, investment, foreign exchange or crypto-asset services, or any regulated activity you are not licensed for;
- weapons, drugs, counterfeit or stolen goods, or adult content;
- money laundering, terrorist financing, or receiving money for someone else's business;
- testing stolen cards or accounts, or interfering with, probing or overloading our systems.
We may change this list to follow the law or our partner bank's rules.
10. Holds, limits and reviews
To protect customers and the platform we may set limits on how much you can collect or withdraw, delay payouts for new or higher-risk accounts, hold funds connected to a dispute, report or suspicious activity, and ask for information about transactions. Where the law requires, we will report activity to the authorities and may not be allowed to tell you.
11. Disputes and refunds
If a customer disputes a payment, we may hold the amount in your wallet while we look into it and ask you for evidence. You agree to cooperate and to refund customers where you did not provide what was paid for. Refunds you choose to give are your responsibility.
12. API keys and webhooks
Keep secret keys on your server, never in an app or web page. Verify the signature on every webhook and confirm payments from your server before giving value. Test keys never move real money. We may rate-limit, restrict or rotate keys that are abused or exposed.
13. Data and privacy
Our Privacy Policy explains how we handle personal data. Where you give us your customers' data to process for you, we process it on your instructions to provide the service, keep it secure, and use it for fraud prevention and legal obligations as the policy describes.
14. Liability
We provide Biyapoint with reasonable care and skill. Nothing in these terms limits liability that cannot be limited by law. Otherwise, we are not liable for loss caused by things outside our reasonable control (including banks, networks, providers or power and internet failures), for indirect or consequential loss, or for loss of profit or business. Our total liability to you in any 12 months is limited to the fees you paid us in that period. You will compensate us for losses caused by your breach of these terms, your goods or services, or your misuse of the service.
15. Suspension and closing
You may close your account at any time once your wallet balance is withdrawn and no disputes are open. We may suspend or close your account if you break these terms, if we cannot verify you, if required by law or our partner bank, or with 30 days' notice for any other reason. On closing, we pay any balance we owe you to your verified bank account, less amounts owed to us or held under section 10.
16. Changes
We may update these terms. We will tell you about material changes by email or in your dashboard at least 14 days before they apply, unless a change is needed sooner for legal or security reasons. Continuing to use Biyapoint after a change means you accept it.
17. Law and disputes with us
These terms are governed by the laws of the Federal Republic of Nigeria. If we have a disagreement, contact us first so we can try to resolve it. If it is not resolved within 30 days, either of us may refer it to mediation in Lagos, and failing that to the courts of Nigeria.
